These Affiliate Program Terms & Conditions (“Agreement”) govern the participation of you, the affiliate (“Affiliate” or “you”), in the Pawsly Affiliate Program (“Program”). “Pawsly”, “we”, “us”, or “our” refers to Pawsly, a wellness and meditation service for dogs, operated out of the Netherlands.
By enrolling in or participating in the Program, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, you may not participate in the Program.
1. Enrollment and Acceptance
1.1 Application: To join the Program, you must complete the online application and provide accurate and complete information. We reserve the right to approve or reject any application in our sole discretion.
1.2 Eligibility: Affiliates must be at least 18 years old and possess a valid payment receiving mechanism (e.g., Stripe account). Affiliates may not be residents of countries or jurisdictions subject to applicable sanctions or embargoes.
1.3 Acceptance: We will notify you of acceptance or rejection via email. Affiliates may not represent themselves as Pawsly or mischaracterize their relationship with Pawsly prior to acceptance.
2. Commission Structure
2.1 Rate: You will earn a commission equal to 40% of the net sale price for each new subscription sale generated through your unique affiliate link. Net sale price excludes taxes, refunds, chargebacks, and applied discounts.
2.2 Recurring Commissions: For referred customers on recurring subscription plans, you will continue to earn 40%commission on each successful renewal payment for the lifetime of that customer’s active subscription.
2.3 Attribution: Commissions are attributed based on the last valid click within the cookie window (see Section 3). If multiple affiliates refer the same customer, the last affiliate to generate a click-through will be credited.
3. Tracking and Cookie Duration
3.1 Tracking: Pawsly uses cookie-based tracking to monitor referrals. Your unique affiliate link contains an identifier that enables tracking of customer activity.
3.2 Cookie Duration: Cookies remain active for 30 days from the initial click. If a referral converts to a sale within this 30-day window, you will receive credit for the sale.
3.3 Limitations: Clearing browser cookies or using privacy tools may prevent proper tracking. Pawsly is not liable for lost commissions due to user-side cookie issues.
4. Payouts and Reporting
4.1 Minimum Payout Threshold: Commissions accumulate until they reach a minimum balance of €25. Once the threshold is met, payouts are scheduled in the following month.
4.2 Payment Method: All payments are processed via Stripe. You must maintain an active Stripe account in good standing.
4.3 Payment Schedule: Payouts occur on or before the 15th of each month for the previous month’s confirmed commissions. Confirmed commissions exclude any transactions still pending, disputed, refunded, or charged back.
4.4 Reporting: You will have access to a dashboard showing real-time metrics, including clicks, conversions, and commission balances. Discrepancies must be reported within 30 days of the transaction date.
5. Marketing Guidelines and Prohibited Conduct
5.1 Brand Use: You may use approved Pawsly logos, banners, and text links provided in the Affiliate Dashboard. All promotional materials must comply with our branding guidelines and be pre-approved if deviating from supplied assets.
5.2 Prohibited Practices: Affiliates must not engage in any of the following:
- Misleading, fraudulent, or deceptive marketing practices.
- Spamming, unsolicited bulk email, or unsolicited direct messaging.
- Paid search or paid social campaigns targeting Pawsly-branded keywords (e.g., “Pawsly”, “Pawsly app”).
- Coupon or deal websites offering unauthorized discounts or codes.
- Trademark bidding or domain names confusingly similar to Pawsly’s trademarks.
5.3 Compliance: Affiliates must comply with all applicable laws, regulations, and industry standards, including data protection laws and email marketing regulations (e.g., GDPR, CAN-SPAM).
5.4 Audit Rights: We reserve the right to audit your promotional channels and remove any non-compliant content. Continued non-compliance may result in suspension or termination from the Program.
6. Termination
6.1 By Pawsly: We may suspend or terminate your participation at any time, with or without cause, including but not limited to breaches of this Agreement, fraudulent behavior, or legal violations.
6.2 By Affiliate: You may terminate your participation by providing written notice to affiliate@pawsly.app.
6.3 Effect of Termination: Upon termination, you will forfeit tracking on future sales but will remain entitled to any earned and unpaid commissions on valid referrals prior to termination, subject to adjustment for refunds or chargebacks.
7. Modifications
Pawsly reserves the right to modify the terms of this Agreement at any time. We will provide notice of material changes via email or the Affiliate Dashboard. Continued participation after notice constitutes acceptance of the updated terms.
8. Intellectual Property
All intellectual property rights in Pawsly branding, logos, text, and media remain the exclusive property of Pawsly. Affiliates receive a limited, non-exclusive, revocable licence to use approved promotional materials solely for the purposes of this Program.
9. Disclaimers and Limitation of Liability
9.1 No Warranties: The Program is provided “as is” and “as available”. Pawsly disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 Limitation of Liability: To the maximum extent permitted by law, Pawsly’s liability arising out of or related to this Agreement shall be limited to the total commissions paid or payable to you in the six (6) months preceding the claim.
10. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Netherlands without regard to conflict of law principles. Any disputes arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Maastricht, Netherlands.
